MSA

This MSA contains the terms and conditions (the “Terms”) that govern the Services. In the event of a conflict between the SOW and these Terms, the SOW supersedes the Terms. The Customer shall only provide access to the Services (as defined below) to authorized representatives who will be deemed to be acting on behalf of the Customer. In the Terms, “the Customer”, "you" and "your" will collectively refer to the Customer and its authorized representatives. Capitalized terms used but not defined in these Terms shall have the meanings given to them in the SOW or in the Pricing Schedule. Should you require an additional SOW related to opening an additional Account, this MSA shall apply to any and all SOW’s executed by You and WQA. WQA reserves the right to make non-material updates to this Agreement, at any time, which is available at www.wearewqa.com/msa where any past versions of this Agreement will also be available.

(a) WQA provides premium on-demand and fully managed support of the product offering described at any time on www.wearewqa.com (the “Services”). Each Plan and Level includes a number of hours within the specified scope and project deadlines:
(i) Creative Design - can be delivered at 2 weeks deadline and longer; and
(ii) UX/UI Design - can be delivered at 2 weeks deadline and longer.
(iii) Software development - can be delivered at 2 weeks deadline and longer.

(b) WQA will provide dedicated Project Manager(s), Design Director(s) and designers, Software architects and Software developers as specified per Plan, trained in the Customer’s relevant templates and style guides. Projects can be ordered on the WQA Site.

The Customer is entitled to upgrade the Plan during a Billing Cycle, but only for future remaining months. If a plan is upgraded it can be downgraded during a Billing Cycle back to its original level with a minimum ninety (90) days prior notice in writing. Other downgrades and changes from one Plan to another Plan are only permitted from the next Billing Cycle with a minimum thirty (30) days prior notice in writing. Such notices should be issued in writing to the Project Manager. You are not allowed to pause a Plan. Notice to pause the Plan may be treated as notice of termination of such Plan. Changes that come into effect will continue to remain in effect for the following Billing Cycles unless the notice explicitly states otherwise.

This Agreement shall begin on the Start Date and, unless terminated earlier in accordance with these Terms, remain in effect for the duration of the Billing Cycle. This Agreement shall not automatically renew. N/A All Monthly Amounts shall be paid up to and including the last month of the last Billing Cycle. Any unused Monthly Amount or Plan hours will be forfeited at termination. Should the Customer wish to continue with any Projects that are ongoing at the time of termination, all remaining work on any such Projects will be invoiced at the List Prices, and will not be subject to any discount. Either party may terminate the Agreement in writing with immediate effect where:
(a) This Agreement shall begin on the Start Date and, unless terminated earlier in accordance with these Terms, remain in effect for the duration of the Billing Cycle.
